Polenberg Cooper names Myra Mahoney Of Counsel

Polenberg Cooper, a South Florida boutique commercial litigation firm, has named business, corporate and securities attorney Myra Mahoney Of Counsel. Before launching her own practice in 2009, she was an attorney with Roetzel & Andress LPA in Fort Lauderdale.


Mahoney concentrates her practice in business formation and general corporate matters such as profit and non-profit corporations, s-corporations, general and limited partnerships, limited liability companies and partnerships and joint ventures. She also handles business and commercial contracts; mergers, exchanges, and sales of businesses; Blue Sky and Regulation D Rule 506 compliance; and reporting company registration and compliance.

During her career, Mahoney has:
· Represented a seller in a $3.6 million asset purchase transaction. Negotiated and drafted asset purchase agreement for acquisition of proprietary power and process systems applications, licenses and intellectual property assets related to the maritime industry.
· A member of the team representing placement agents in three tranche $12.4 million private placement of secured convertible notes and warrants for ballistic resistant defense products manufacturer.
· Represented a management team of smaller reporting company in stock buyback from majority shareholder providing advice on structure of the transaction and secured debt financing.
· Represented a specialty pharmaceutical company in $7.4 million private placement of common stock in pre-IPO bridge financing.
· On team representing underwriters on $25m SPAC offering for OTCBB quoted company; $16.2 million firm commitment of stock for AMEX listed real estate development company; and $5.8 million firm commitment secondary offering of stock and warrants for NASDAQ quoted digital media company.

Mahoney earned a law degree from the University of Miami School of Law and a bachelor of arts degree in business administration from Florida Atlantic University. A member of the American Bar Association, she is admitted to practice in the Northern and Southern Districts of Florida.
